It is anticipated that Tilt Renewables Limited (Company) will be admitted to the Official List of ASX Limited (ASX) on or before the morning of Friday, 28 October 2016 as an ASX Foreign Exempt Listing.
As an ASX Foreign Exempt Listing, the Company is primarily regulated by the listing rules of its home exchange (being the NZX Main Board (NZSX)) and is exempt from complying with most of ASX’s Listing Rules.
Official quotation of the Company’s shares is expected to commence, on a deferred settlement basis, at 12:00pm AEDT on Friday, 28 October 2016.
At a meeting held on 9 September 2016, shareholders of Trustpower Limited (“Trustpower”) voted in favour of the demerger resolution (“Demerger”) pursuant to a Court approved scheme of arrangement under Part 15 of the Companies Act. The Demerger will be effected through a distribution of the Company’s shares to Trustpower shareholders by way of an in specie distribution of one fully paid ordinary share in the Company for each fully paid ordinary share held in Trustpower. There was no capital raising conducted as part of the Demerger
