The purpose of this notice is to provide Participants key information relating to the proposed merger of Washington H Soul Pattinson & Company Limited (ASX Code: SOL) and Brickworks Limited (ASX Code: BKW).

Washington H Soul Pattinson & Company Limited (‘SOL’), Brickworks Limited (‘BKW’), First Services Company Ltd (‘Topco’) and Second Services Company Pty Ltd (‘Subco’) have entered into a Combination Deed. The merger will be undertaken through two separate and inter-conditional schemes of arrangement between SOL and its shareholders and between BKW and its shareholders (‘Schemes’).

Topco will be renamed Washington H. Soul Pattinson and Company Limited and will become the new holding company for the combined group. Topco will own all the shares in Subco, and Topco shares will be issued to both SOL and BKW shareholders under the Schemes.

The Schemes are subject to shareholders’ approval.


Scheme Consideration

If approved and implemented:

• SOL shareholders will receive 1 Topco share for every 1 SOL share they hold as at the record date (excluding shares held by BKW).
• BKW shareholders will receive 0.82 Topco shares for every 1 BKW share they hold as at the record date.
   

Renaming of Topco

Topco will be renamed Washington H. Soul Pattinson and Company Limited after the Schemes become effective, and shares will be quoted and traded on ASX under the ticker code SOLDA. Deferred settlement trading of Topco shares is expected to commence on ASX from Tuesday, 16 September 2025. Topco shares are expected to commence trading on ASX under the ticker code SOL on a normal settlement basis from Wednesday, 24 September 2025.
 

All times and dates in the above timetable are subject to change and are conditional on the Schemes being approved by shareholders and by the Court.
