The following class of Financial Products had been included in Schedule 1 of the ASX Settlement Operating Rules as a FOR Financial Product effective 16 July 2019.  Please refer to the relevant ASX Notice.
 

What do I need to do and by when?

The existing transfer restrictions which were effective on and from 1 August 2019 will be extended so that any person who is (or holds the Stapled Securities for the account or benefit of any persons who is) in the United States or who is a U.S. Person and is not:

(i) a Qualified Purchaser (“QP”) who was registered on the ALX register as at 7.00pm (Melbourne time) on 8 April 2025 and has remained on the ALX register as a holder of Stapled Securities continuously since then (an “Existing QP”); or

(ii) both a QP and a “qualified institutional buyer” (as defined in Rule 144A under the Securities Act of 1933) (“QIB” and together, a “QIB/QP”),

cannot acquire or hold Stapled Securities (with each of those restricted persons being an “Excluded US Person” or “Excluded U.S. Person”),

The amendments will be effective on 16 May 2025 and are in addition to the transfer restrictions that were effective on and from 1 August 2019.

This revised definition of Excluded US Persons would then be relevant for the existing divestment provisions under the Atlas Arteria Limited Constitution and the Atlas Arteria International Limited Bye-Laws.

“Qualified Purchaser”, “U.S. Person” and “United States” have the meanings given to them in the Notice Attachment dated 31 July 2019 - ASX Notice.
